INTERIOR E-DESIGN SERVICES AGREEMENT

This Agreement is entered into as of the date of package purchase (the "Effective Date") by and between the Designer and the Client (collectively, the "Parties").  

1. Scope of Services

The Designer agrees to provide a flat-rate, digital Standard One-Room E-Design Package for a single, designated room. The deliverables for this project are strictly digital and consist of:  Conceptual Mood Board: A curated digital board demonstrating the aesthetic direction, color palette, and general material/texture concepts.  2D Scale Floor Plan: A precise furniture layout plan drawn to scale based on the measurements provided by the Client.  Curated Shopping List: A clickable digital product list featuring retail-ready items, direct purchase links, brand details, and current pricing at the time of design.  Product Implementation Guide: Brief notes and styling tips to help the Client execute the layout independently.  Revisions: Included in this flat rate is one (1) round of revisions, limited to swapping out up to three (3) specific product recommendations within seven (7) business days of deliverable receipt.  

2. Client Responsibilities & Data Input

Because this is an online e-design service, the success of the layout relies entirely on Client input. The Client agrees to:  Provide accurate room measurements, architectural details (placement of windows, doors, outlets), and high-resolution photographs of the space.  Complete the Design Questionnaire to establish budget constraints and aesthetic preferences.  The Designer is not liable for furniture that does not fit or fitment errors resulting from inaccurate dimensions or structural data provided by the Client.  

3. Retail Products & Substitutions Pricing & Availability

The Designer sources items exclusively from retail avenues accessible to consumers. The Designer has no control over retail store stock fluctuations, sudden pricing adjustments, shipping timelines, or item discontinuations.  Substitutions: If a recommended item goes out of stock or changes in price after the deliverables are handed over, the Designer is not obligated to source a replacement unless it falls within the initial, designated revision window.  Purchasing & Logistics: The Client will purchase retail items directly from the vendors. The Designer is not a vendor, does not process orders for retail goods, and is not responsible for any shipping delays, damages, returns, or product defects.  

4. Fees and Payment Flat-Rate Pricing

The total fee for the One-Room E-Design Package is a non-refundable flat rate, payable in full upfront via the DesignFiles secure checkout platform (processed securely through Stripe).  Commencement of Work: No design layouts, concept drafting, or sourcing will begin until full payment has cleared, the Contract is signed, and the Questionnaire/measurements are fully submitted.  

5. No Structural or Construction Services Design Intent Only

The deliverables provided by the Designer are for conceptual space planning and aesthetic layout purposes only.  No Contracting: The Designer does not provide architectural, engineering, electrical, plumbing, or structural contracting services. The plans are not buildable blueprints. If structural modifications or electrical revisions are required, the Client must hire a locally licensed contractor.  

6. Intellectual Property

The Designer retains the ownership, copyright, and intellectual property rights to all concepts, floor plans, drawings, and mood boards created under this Agreement. The Client is granted a non-exclusive, personal license to use these deliverables solely for the execution of their personal residential space.  

7. Limitation of Liability & Governing Law Jurisdiction

This Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any legal disputes arising under this agreement shall be handled in the appropriate court closest to Edgewater, NJ.  Maximum Liability: To the maximum extent permitted by New Jersey law, the Designer’s total cumulative liability to the Client for any claims, losses, damages, or expenses arising out of this project shall not exceed the total flat fee paid by the Client for this specific e-design package.  

8. Digital Signatures and Acceptance

By checking the box, clicking "I Agree," or digitally signing through the DesignFiles portal upon checkout, the Client acknowledges they have read, understood, and agreed to all the terms and conditions outlined above.
